The Board of API recognises the importance of a strong governance framework and culture throughout the organisation. The Board continues to build on and enhance the established corporate governance framework.
The roles and responsibilities of the Board are set out in the Board Charter. To assist with the execution of its responsibilities, the Board has established a Remuneration Committee, an Audit and Risk Committee and a Nomination Committee. All committees have documented charters.
Under ASX Listing Rules and the ASX Corporate Governance Council’s Principles and Recommendations (the “Principles”), API is required to disclose the extent of its compliance with the Principles. Details of compliance with the Principles by the consolidated entity are set out in API Annual Reports which are available for download, and in the Corporate Governance Statement set out below.
The Directors have also implemented internal control processes for identifying, evaluating and managing significant risks to the achievement of the Company’s objectives. These internal control processes cover financial, operating and compliance risks.
The Directors also receive and consider the annual control certification by the Chief Executive Officer and the Chief Financial Officer in accordance with the Principles relating to financial and operating risks. Material associates, which API does not control, are not dealt with for the purposes of this statement.
